By accessing our website, requesting a quote, or retaining our services, you ("Client," "User," or "you") agree to be bound by these Terms and Conditions. Please read them carefully before submitting inquiries or making payments.
1. Scope of Services
MA provides creative, branding, administrative, and social e-commerce agency services, including but not limited to:
- Web Design & Digital Media: Custom website design, promotional $500 website packages, and e-commerce setups.
- Packaging & Print: Custom product label design and physical label printing services.
- Business Entity Formation: Document filing assistance for state Limited Liability Companies (LLC), Corporations (Inc, C-Corp, S-Corp), Non-Profits, Partnerships, DBAs, and Federal Tax ID (EIN) registrations.
- TikTok Shop & E-Commerce Management: TikTok Seller Center account onboarding, shop setup, product catalog syncing, daily operations, and affiliate creator program assistance.
- FDA Regulatory Filing Assistance: Preparation and submission support for restricted product categories on social e-commerce platforms.
- Residence Document Assistance: Document review and application assistance for USCIS Form I-90 Green Card / Permanent Residence renewals.
2. Important Legal & Non-Attorney Disclaimer
MA is an administrative, visual branding, and documentation support agency. We are not a law firm, nor are we licensed attorneys, legal representatives, or tax professionals.
- Any assistance provided regarding entity types (e.g., LLC vs. Corporation) or immigration forms (Form I-90) is strictly non-legal administrative guidance.
- Communications between you and MA are protected by our Privacy Policy but are not protected by attorney-client privilege.
- If you require legal representation, legal advice, or formal tax counsel, you should consult a licensed attorney or certified public accountant (CPA).
3. Promotional Offers & Pricing
All prices quoted on lurhi.com or communicated via phone (862-335-9652), including our $500 Promotional Web Design Special, are subject to the following conditions:
- The $500 website offer covers initial design, standard page setup, mobile responsiveness, and lead capture integration as outlined in the service agreement. Custom functionality, third-party plugin fees, domain purchasing, or ongoing web hosting are the responsibility of the client unless explicitly specified.
- Quotations for custom projects, label printing, or monthly TikTok Shop management are valid for 30 days from issuance.
- Government filing fees (e.g., state Secretary of State fees, IRS setup fees, USCIS filing fees) are separate from MA service charges unless bundled into a custom written agreement.
4. Client Responsibilities & Content Submissions
Clients engaging MA for web design, packaging design, entity setup, or social media management agree to:
- Provide accurate, complete, and truthful personal, business, and product details required for government forms or store setups.
- Supply necessary text, high-resolution logos, product images, and copy in a timely manner.
- Ensure that all products sold on TikTok Shop or labeled by MA comply with applicable local, state, and federal laws and do not infringe on third-party trademarks or copyrights.
5. Approvals, Printing & Third-Party Platforms
- Label Printing Approval: Clients must thoroughly review and approve all digital proof artwork before label printing begins. MA is not responsible for typos, incorrect dimensions, or errors approved by the Client prior to print production.
- Government & Third-Party Approval Disclaimer: While MA assists with FDA submissions, state LLC/Inc filings, TikTok Shop seller clearances, and Green Card renewals, final approval rests strictly with the respective government bodies (USCIS, FDA, Secretary of State) or third-party platforms (TikTok Seller Center). MA cannot guarantee third-party approvals or state/federal agency processing times.
6. Intellectual Property & Ownership
Upon final payment in full for custom web design or label artwork, MA grants the Client ownership rights to the final custom graphic assets and web design deliverables created for the project. MA retains the right to display completed visual work and websites in agency portfolios and marketing materials unless restricted by a signed Non-Disclosure Agreement (NDA).
7. Payment Terms & Refund Policy
- Deposits & Upfront Payments: Due to the custom labor and immediate resource allocation required, initial retainers, website deposits, or administrative fee deposits are non-refundable once work has commenced.
- Government Fees: Any government filing fees paid directly to state offices, IRS, or USCIS are non-refundable under any circumstances once submitted.
- Print Orders: Once a label print order has been sent to production following client sign-off, print manufacturing costs cannot be refunded.
8. Limitation of Liability
To the maximum extent permitted by applicable law, MA, its owners, and team members shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to our services, website downtime, third-party platform account suspensions (e.g., TikTok Seller Center account bans), or government agency delays or rejections. Our maximum liability to any client shall not exceed the total service fee actually paid by the client to MA for the specific project in dispute.
9. Indemnification
You agree to defend, indemnify, and hold harmless MA and its officers, directors, and employees from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising out of your violation of these Terms, your use of our services, or any products sold or advertised by your business.
10. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law principles.
11. Modifications to Terms
We reserve the right to update or modify these Terms & Conditions at any time without prior notice. Continued use of our website or services following any updates constitutes acceptance of the revised Terms.
